Agreement to our legal terms

We are PoiseAI (“Company,” “we,” “us,” “our”). We operate the website poiseform.com (the “Site”) and any other related products and services that refer or link to these legal terms (the “Legal Terms”) (collectively, the “Services”).

These Legal Terms constitute a legally binding agreement made between you and PoiseAI, concerning your access to and use of the Services. By accessing the Services, you have read, understood, and agreed to be bound by all of these Legal Terms. If you do not agree with all of these legal terms, you are expressly prohibited from using the Services and you must discontinue use immediately.

The Services are intended for users who are at least 13 years of age. All users who are minors in their jurisdiction (generally under 18) must have permission from, and be supervised by, a parent or guardian.

1. Our services

The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation. The Services are not tailored to comply with industry-specific regulations (HIPAA, FISMA, GLBA, etc.).

2. Intellectual property rights

We are the owner or licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, designs, audio, video, text, photographs, and graphics (the “Content”), and the trademarks, service marks, and logos contained therein (the “Marks”).

Subject to your compliance with these Legal Terms, we grant you a non-exclusive, non-transferable, revocable license to access the Services and download or print a copy of any portion of the Content for your personal, non-commercial use only.

Your contributions: When you upload photos, send messages, or otherwise contribute content to the Services, you grant us an unrestricted, worldwide license to use, copy, reproduce, store, and display that content solely to provide and improve the Services. You retain ownership of your content. You are solely responsible for what you upload and represent that you have all necessary rights to do so.

3. User representations

By using the Services, you represent and warrant that:

  1. All registration information you submit is true, accurate, and complete;
  2. You have the legal capacity to comply with these Legal Terms;
  3. You are not under the age of 13;
  4. If you are a minor, you have parental permission to use the Services;
  5. You will not access the Services via automated means;
  6. You will not use the Services for any illegal or unauthorized purpose;
  7. Your use of the Services will not violate any applicable law or regulation.

4. User registration

You may be required to register to use the Services. You agree to keep your password confidential and are responsible for all use of your account.

5. Purchases and payment

We accept the following forms of payment: Visa, Mastercard, American Express, Discover.

You agree to provide current, complete, and accurate purchase and account information for all purchases. Sales tax will be added to the price of purchases as required. We may change prices at any time. All payments shall be in US dollars.

6. Subscriptions

Billing and renewal: Your subscription will continue and automatically renew unless cancelled. You consent to our charging your payment method on a recurring basis without requiring your prior approval for each recurring charge. The length of your billing cycle is monthly.

Cancellation: You can cancel your subscription at any time by logging into your account. Your cancellation will take effect at the end of the current paid term. If you have questions, email info@poiseform.com.

Refunds: Refunds may be requested within 14 days of your initial subscription. After 14 days, you may cancel future billing but past payments are non-refundable except where required by law.

Fee changes: We may change subscription fees and will communicate any price changes in accordance with applicable law.

7. Prohibited activities

You may not access or use the Services for any purpose other than that for which we make them available. As a user, you agree not to:

  • Systematically retrieve data from the Services to compile a database without permission.
  • Trick, defraud, or mislead us or other users.
  • Circumvent security features that prevent or restrict use or copying of Content.
  • Disparage, tarnish, or harm us or the Services.
  • Use information from the Services to harass, abuse, or harm another person.
  • Make improper use of our support or submit false reports.
  • Use the Services in violation of any applicable laws.
  • Engage in unauthorized framing of or linking to the Services.
  • Upload viruses or material that interferes with the Services.
  • Engage in automated use of the system (bots, scrapers, scripts).
  • Delete copyright or proprietary notices from any Content.
  • Impersonate another user.
  • Reverse engineer or decompile any part of the Services.
  • Use the Services to advertise or offer to sell goods and services.
  • Sell or transfer your profile or account.

8. User generated contributions

The Services allow you to upload photos and submit content (collectively, “Contributions”). By creating Contributions you represent and warrant that they:

  • Do not infringe the proprietary rights of any third party.
  • Are your original work or you have all necessary rights and permissions.
  • Have the consent of any identifiable person depicted.
  • Are not false, inaccurate, or misleading.
  • Are not unsolicited advertising or spam.
  • Are not obscene, harassing, defamatory, or otherwise objectionable.
  • Do not ridicule, mock, intimidate, or abuse anyone.
  • Do not violate any applicable law.
  • Do not violate the privacy or publicity rights of any third party.
  • Do not include offensive comments connected to race, gender, sexuality, or disability.

9. Contribution license

By posting Contributions, you grant us an unrestricted, worldwide, royalty-free license to use, copy, reproduce, distribute, sell, publish, broadcast, store, publicly display, translate, and exploit your Contributions for any purpose. We do not assert ownership over your Contributions — you retain full ownership.

10. Third-party websites and content

The Services may contain links to other websites and content from third parties. Such third-party content is not investigated or monitored by us, and we are not responsible for its accuracy or your interactions with it. You access third-party websites and content at your own risk.

11. Services management

We reserve the right to monitor the Services for violations of these Legal Terms, take legal action against violators, refuse or restrict access, remove excessive content, and otherwise manage the Services to protect our rights and ensure proper functioning.

12. Privacy policy

We care about data privacy and security. Please review our Privacy Policy. By using the Services, you agree to be bound by our Privacy Policy, which is incorporated into these Legal Terms.

We do not knowingly accept information from children under 13. If we learn we have received personal information from a child under 13 without verifiable parental consent, we will delete that information promptly.

13. Copyright infringements

We respect the intellectual property rights of others. If you believe that any material available on the Services infringes upon any copyright you own, please notify us at info@poiseform.com with sufficient detail to identify the work and the alleged infringement. Be advised that you may be liable for damages if you make material misrepresentations.

14. Term and termination

These Legal Terms remain in full force while you use the Services. We reserve the right, in our sole discretion, to deny access to and use of the Services to any person for any reason, including breach of any representation or warranty in these Legal Terms. We may terminate your account and delete any content at any time, without warning.

15. Modifications and interruptions

We reserve the right to change, modify, or remove the Services at any time, without notice. We will not be liable for any modification, price change, suspension, or discontinuance of the Services. We cannot guarantee the Services will be available at all times.

16. Governing law

These Legal Terms and your use of the Services are governed by the laws applicable to the jurisdiction in which PoiseAI operates, without regard to conflict-of-law principles.

17. Dispute resolution

Informal negotiations: The parties agree to first attempt to negotiate any dispute informally for at least 30 days before initiating arbitration.

Binding arbitration: If informal negotiations fail, disputes will be resolved by binding arbitration. YOU UNDERSTAND THAT WITHOUT THIS PROVISION, YOU WOULD HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL. Arbitration fees deemed excessive will be paid by us. The arbitration may be conducted in person, by phone, or online.

Restrictions: Any arbitration is limited to a dispute between the parties individually. There is no right or authority for any dispute to proceed on a class-action basis.

No claim may be brought more than one (1) year after the cause of action arose.

18. Corrections

The Services may contain typographical errors, inaccuracies, or omissions. We reserve the right to correct any errors and update information at any time, without prior notice.

19. Disclaimer

THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. Your use of the Services is at your sole risk. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We make no warranties about the accuracy or completeness of the Services' content. PoiseAI provides AI-generated wellness, grooming, and styling suggestions — not medical advice. Consult a qualified professional for medical, dermatological, or psychological concerns.

20. Limitations of liability

IN NO EVENT WILL WE OR OUR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, OR LOSS OF DATA. Our liability to you for any cause whatsoever will be limited to the lesser of: (a) the amount paid by you to us in the twelve (12) months prior to the cause of action arising, or (b) $100 USD.

21. Indemnification

You agree to defend, indemnify, and hold us harmless from any loss, damage, liability, claim, or demand arising out of: your Contributions; your use of the Services; your breach of these Legal Terms; your violation of the rights of a third party; or any harmful act toward another user.

22. User data

We will maintain certain data that you transmit to the Services for performance and analytics. Although we perform regular routine backups, you are solely responsible for all data you transmit.

23. Electronic communications, transactions, and signatures

Visiting the Services, sending emails, and completing online forms constitute electronic communications. You consent to receive electronic communications and agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that they be in writing.

24. Miscellaneous

These Legal Terms constitute the entire agreement between you and us. Our failure to enforce any right shall not be a waiver. If any provision is found unenforceable, that provision is severable and does not affect the validity of remaining provisions. There is no joint venture, partnership, or employment relationship created by these Legal Terms.
